These Terms of Service ("Terms") govern your access to and use of Subify, a video and audio transcription service operated by [Radials Ltd] ("Company", "we", "us", or "our"). Please read these Terms carefully before using our service.

By accessing or using Subify, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

  • "Service" means the Subify website, applications, and transcription services accessible at https://subify.co.uk
  • "User" or "You" means the individual accessing or using the Service
  • "Account" means the unique account created by a User to access the Service
  • "Content" means any video, audio, or other media files uploaded to the Service for processing
  • "Output" means the transcripts, subtitles, or other content generated by the Service from your uploaded Content
  • "Subscription Plan" means the tier of service you subscribe to (Free, Solo, Pro, Audio Lite, Audio Plus, Enterprise)

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are under 18, you must have parental or guardian consent to use the Service.

3. Account Registration and Security

To access certain features of the Service, you must create an account. When you register, you agree to:

  • Provide accurate, current, and complete information (including a valid email address)
  • Maintain the security of your account credentials (password)
  • Not share your account credentials with any third party
  • Immediately notify us of any unauthorized access to or use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to disable any user account if we determine, in our sole discretion, that the user has violated these Terms or is engaging in fraudulent or abusive activity.

4. Service Description and Subscription Plans

Subify provides AI-powered transcription and subtitle generation services for video and audio content. Our service processes your uploaded files to generate accurate transcripts in various formats (SRT, ASS).

4.1 Subscription Tiers

We offer the following subscription plans:

  • Free Tier: 10 minutes of transcription per month, no video burning capability
  • Audio Lite: 120 minutes per month, audio-only processing (no video burning)
  • Audio Plus: 600 minutes per month, audio-only processing (no video burning)
  • Solo: 120 minutes per month, includes video burning capability
  • Pro: 600 minutes per month, includes video burning capability
  • Enterprise: Unlimited usage, includes all features, custom pricing

All usage is measured in minutes of audio processed. Unused minutes do not roll over to the next billing cycle. Each subscription tier has a monthly reset based on your account's billing date.

4.2 Video Burning

Video burning refers to the ability to embed subtitles directly into your video file. This feature is available only on Solo, Pro, and Enterprise tiers. Audio-only tiers (Audio Lite, Audio Plus) can generate subtitle files but cannot burn subtitles into video.

5. Payment and Billing

Payment processing is handled securely by Stripe. By subscribing to a paid plan, you agree to:

  • Provide accurate and complete payment information
  • Authorize us to charge your selected payment method for the applicable subscription fees
  • Pay all applicable taxes (VAT, GST, etc.) as determined by your billing location

5.1 Billing Cycle

Subscriptions are billed monthly or yearly as selected at checkout. Your billing cycle begins on the date of initial subscription and recurs on the same day each month/year. For example, if you subscribe on March 15th, your next billing date will be April 15th (monthly) or March 15th next year (yearly).

5.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current fee for your selected plan. We may change our fees with at least 30 days' notice by posting the changes on our Pricing page or by emailing you.

5.3 Cancellation and Refunds

  • You may cancel your subscription at any time through your account settings or by contacting us
  • Cancellation takes effect at the end of your current billing period; you will retain access until then
  • No refunds are provided for partial months of service or unused minutes
  • We do not offer prorated refunds for cancelled subscriptions
  • By purchasing a subscription, you consent to immediate access to the Service and acknowledge that you lose your statutory right to cancel once the Service has begun.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Upload or process any content that infringes upon any third party's intellectual property rights
  • Upload or process illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable content
  • Upload content containing viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated tools (bots, scrapers) to access the Service (except our official API, if any)
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of our software
  • Use the Service for any purpose that violates applicable laws or regulations

We reserve the right to suspend or terminate your account if you violate this Acceptable Use Policy.

7. User Content and Rights

You retain all right, title, and interest in and to the content you upload to the Service ("Your Content"). By uploading content, you grant us a limited, non-exclusive, worldwide license to process Your Content solely to provide the Service to you. This license terminates when you delete Your Content from our systems (subject to automatic deletion policies in our Privacy Policy).

You are solely responsible for Your Content and represent that you have all necessary rights, consents, and permissions to upload and process it through our Service. You agree not to upload content that you do not own or have proper authorization to use.

8. Output and Intellectual Property

The transcripts and subtitles generated by the Service ("Output") are your property once produced. You may use the Output for any lawful purpose, including commercial use, subject to your compliance with these Terms. However, we reserve the right to use aggregated, anonymized data derived from Output to improve our service (without identifying you or Your Content).

The Service itself, including all software, algorithms, documentation, and underlying technology, is the intellectual property of the Company and is protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works from the Service without our express written permission.

9. File Retention and Deletion

We retain uploaded files and generated outputs only as long as necessary to provide the service:

  • Uploaded files: Automatically deleted after 24 hours
  • Extracted audio: Automatically deleted after 6 hours
  • Generated transcripts: Automatically deleted after 48 hours

It is your responsibility to download and back up any Output you wish to keep. We are not liable for any loss of data or Output after the automatic deletion periods.

10. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may suspend, modify, or discontinue the Service (or any part thereof) at any time without notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

We reserve the right to update, modify, or replace these Terms from time to time. Material changes will be communicated via email or prominent notice on our website. Continued use of the Service after such changes constitutes your acceptance of the new Terms.

11. Service Quality and Accuracy

Subify leverages advanced artificial intelligence and machine learning technologies to provide transcription and subtitle generation services. While we strive for high accuracy and quality, please note the following:

11.1 AI-Powered Service

Our service uses automated speech recognition technology that, while state-of-the-art, is not infallible. Transcription accuracy depends on various factors including but not limited to:

  • Audio quality and clarity
  • Speaker accents, dialects, and speech patterns
  • Background noise and interference
  • Technical terminology, proper nouns, and specialized vocabulary
  • Multiple speakers or overlapping speech

11.2 No Guarantee of Perfection

We cannot guarantee that transcripts will be 100% accurate or error-free. While we continuously improve our models, occasional inaccuracies may occur. We provide the service on an "as-is" basis without any express or implied warranties regarding accuracy, completeness, or reliability of the transcription results.

11.3 User Responsibility

You are solely responsible for reviewing, editing, and verifying the accuracy of any transcripts before using them for:

  • Legal or official documentation
  • Medical or healthcare purposes
  • Educational or academic work
  • Commercial or business-critical applications
  • Any purpose where precision is essential

We strongly recommend human review and proofreading of all generated content prior to final use.

12. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DISCLAIM ALL WARRANTIES WITH REGARD TO THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • The Service will meet your specific requirements or expectations
  • The Service will be uninterrupted, timely, secure, or completely error-free
  • The accuracy, completeness, or reliability of transcription results
  • Any defects in the Service will be corrected
  • The Service will be compatible with all devices, browsers, or systems

Some jurisdictions do not allow the disclaimer of implied warranties, so the above disclaimer may not apply to you in full. You may have additional rights under local law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [RADIALS LTD] AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Loss of business opportunities or goodwill
  • Costs of obtaining substitute goods or services
  • Damages for any errors or inaccuracies in transcription results

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US DURING THE 12 MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless [Radials Ltd] and its affiliates, officers, agents, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including reasonable attorneys' fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right; or (d) any claim that Your Content caused damage to a third party. This indemnification obligation will survive these Terms and your use of the Service.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Your breach of these Terms
  • Your engagement in fraudulent or abusive activity
  • Your use of the Service in a way that could damage our reputation or business
  • At our sole discretion, with or without cause

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the courts of England and Wales, and you consent to the personal jurisdiction of such courts.

17. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect
  • Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights
  • No Third-Party Beneficiaries: These Terms do not confer any rights on any third party
